Summary: Yo RX Studio builds local-first software. Your data belongs to you and remains on your device hardware. We run no user-tracking services, sell no personal data, and provide our software with transparency and respect for user sovereignty.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Yo RX Studio (Research and Exploration) ("Studio", "we", "us", or "our") governing your access to and use of our applications, websites, and software services, including the Ninaivo Android application (Package: com.yoai.ninaivo) and the website at https://yorxstudio.com.

By downloading, installing, accessing, or using our applications or website, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Software Scope & Local-First Architecture

Ninaivo is designed as a sovereign, private knowledge and thought management tool. By architecture and intent:

All thoughts, notes, tasks, calendar metadata, voice recordings, and spatial graph relationships are stored exclusively within local device storage (SQLite/Room).
We operate no central user database, cloud synchronization servers, or accounts for core application functionality.
You retain complete ownership and exclusive control over all data created or stored using the application.

3. Optional Third-Party Services & AI Integration

While Ninaivo is fully functional offline using local on-device inference models (LiteRT / ML Kit), the application allows you to optionally configure external third-party AI APIs (such as Google Gemini, Anthropic Claude, or OpenAI) using your own API credentials ("Bring Your Own Key").

You are solely responsible for maintaining the confidentiality of your third-party API keys.
Your use of third-party AI providers is governed by their respective terms of service and privacy policies.
Yo RX Studio has no access to your API keys, prompts, or returned model completions.

4. User Responsibilities & Acceptable Use

You agree to use our software only for lawful purposes in compliance with all applicable local, national, and international laws. You agree not to:

Decompile, reverse engineer, or disassemble native binary libraries in an attempt to violate copyright or licensing restrictions.
Use the application to store, process, or disseminate unlawful, infringing, or harmful content.
Circumvent or attempt to circumvent security mechanisms or licensing verifications.

5. Intellectual Property Rights

The software, design, logos, trademarks, code, algorithms, and visual interfaces of Ninaivo and Yo RX Studio are the intellectual property of Yo RX Studio (Research and Exploration). All rights not expressly granted to you are reserved.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YO RX STUDIO DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL YO RX STUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, DEVICE DAMAGE, OR BUSINESS INTERRUPTION ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE APPLICATION.

8. Modifications to Terms

We reserve the right to modify or replace these Terms at any time. When modifications are made, the "Last Updated" date at the top of this document will be revised. Continued use of the application after changes constitute acceptance of the modified Terms.
